1. Acceptance of Terms
By creating an account or using Auto Pilot TC (the "Service"), you agree to be bound by these Terms and Conditions of Use ("Terms") and the Hold Harmless Agreement that accompanies them. If you do not agree, do not use the Service.
2. Eligibility
The Service is intended for use by actively licensed Texas real estate professionals. You represent that the TREC license number you provide is your own, is accurate, and that you are authorized to use TREC and Texas REALTORS® forms in the course of your real estate business. You must be at least 18 years old.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
4. Permitted Use
You may use the Service to prepare, store, and download real estate transaction documents in connection with your own licensed real estate activity. You may not (a) resell or sublicense access to the Service, (b) use the Service to provide legal advice, (c) reverse engineer the Service, or (d) use the Service in violation of any applicable law, TREC rule, MLS rule, or Code of Ethics.
5. Forms and Third-Party Content
TREC promulgated forms and Texas REALTORS® forms are the property of their respective owners and are provided for use by authorized licensees and members only. Auto Pilot TC does not claim ownership of these forms and is not affiliated with, endorsed by, or sponsored by the Texas Real Estate Commission ("TREC") or Texas REALTORS®. You are responsible for ensuring your use of any form complies with the applicable license, membership, and copyright terms.
6. Not Legal Advice
Auto Pilot TC is a software tool. It is not a law firm, does not provide legal advice, and is not a substitute for advice from a licensed attorney or your broker. You are solely responsible for the accuracy, completeness, and legal sufficiency of any document you prepare, deliver, or execute.
7. Credits and Payments
Access to certain features requires an active paid subscription. Subscription fees are billed monthly or annually depending on the plan you choose and are non-refundable except where required by law. Pricing, plan tiers, and included features may change at any time. Payment processing is handled by our third-party payment provider; their terms also apply.
8. License Verification
We periodically verify license status against the public TREC roster. If your license becomes inactive, expired, suspended, or revoked, we may restrict your ability to create new forms while continuing to allow access to documents you have already paid for.
9. User Content and Data
You retain ownership of the information you enter (client names, addresses, transaction details, uploaded documents). You grant Auto Pilot TC a limited license to store, process, and display that content solely to operate the Service for you. We will not sell your client data.
9a. Transaction Archiving and Retention
You may archive any transaction at any time from the Transactions page or from the transaction's detail page. Archived transactions, including all forms, uploads, parties, and signed documents within them, are retained in your account for seven (7) years from the date of archival, after which they may be automatically and permanently deleted. This retention period is intended to align with the record-retention guidance commonly applied to Texas real estate transaction files, but you remain solely responsible for maintaining your own independent records as required by TREC, your broker, the IRS, and any other applicable authority. Active (non-archived) transactions are retained until you archive or delete them. You may permanently delete any transaction (active or archived) at any time; permanent deletion is immediate and cannot be reversed.
10. Confidentiality
You agree to handle all client information in accordance with applicable law, TREC rules, the Code of Ethics, and your fiduciary duties to your clients.
11. Service Availability
The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted access, error-free operation, or that the Service will meet your specific requirements. Scheduled and unscheduled downtime may occur.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, abuse of the Service, or license inactivity. You may close your account at any time from the Account tab.
13. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, AUTO PILOT TC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AUTO PILOT TC, ITS OWNERS, OFFICERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO AUTO PILOT TC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Exclusive venue for any dispute lies in the state and federal courts located in Texas.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will require you to re-accept the Terms before continuing to use the Service. Continued use after an update constitutes acceptance.

Auto Pilot TC — Hold Harmless and Indemnification Agreement

In consideration of being granted access to Auto Pilot TC (the "Service"), you ("User") agree as follows:
1. Assumption of Risk
User acknowledges that the Service is a document preparation and transaction management tool used by Texas real estate licensees. User is solely responsible for: (a) selecting the correct forms for each transaction; (b) the accuracy and completeness of every field User enters or relies upon, including auto-filled fields; (c) timely delivery, execution, and retention of executed documents; (d) compliance with TREC rules, the Real Estate License Act, the Code of Ethics, MLS rules, fair housing laws, and all other applicable law; and (e) any advice given to clients in connection with documents produced using the Service.
2. No Attorney-Client Relationship
Nothing in the Service creates an attorney-client relationship. The Service does not provide legal, tax, financial, or brokerage advice. User will consult a licensed attorney and User's sponsoring broker for any matter requiring professional judgment.
3. Hold Harmless
User agrees to hold harmless, release, and discharge Auto Pilot TC, its owners, officers, employees, agents, contractors, and affiliates (collectively, the "Released Parties") from any and all claims, demands, losses, damages, costs, expenses (including reasonable attorneys' fees), liabilities, and causes of action of every kind, whether known or unknown, arising out of or related to: (i) User's use of the Service; (ii) any document produced, stored, or transmitted using the Service; (iii) any error, omission, mis-fill, late delivery, or non-delivery of any document; (iv) any dispute between User and User's client, broker, cooperating broker, title company, lender, or any third party; (v) loss of license, fine, sanction, or disciplinary action arising from User's conduct; or (vi) any breach by User of these terms or applicable law.
4. Indemnification
User agrees to indemnify and defend the Released Parties from and against any third-party claim arising out of or related to User's use of the Service, including without limitation claims by User's clients, cooperating parties, brokers, or regulatory bodies.
5. No Reliance on Auto-Fill or Form Library
User acknowledges that auto-fill values (broker information, party information, addresses, license numbers, etc.) and the form library are conveniences only. User is responsible for verifying every value in every document before signing, delivering, or filing it. The Released Parties are not responsible for stale, incorrect, or mis-mapped data.
6. License Status
User represents that User holds an active Texas real estate license and will not use the Service to create new forms while User's license is inactive, expired, suspended, or revoked. User agrees not to misrepresent license status or use another person's license number.
7. Survival
The obligations in this Hold Harmless and Indemnification Agreement survive termination of User's account and continued use of the Service.
8. Severability
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
By checking the acceptance box at sign-up, or by continuing to use the Service after an updated version is posted, User acknowledges that User has read, understood, and agrees to be bound by this Hold Harmless and Indemnification Agreement and the Terms and Conditions of Use.
